Terms of Trade

Last updated: 5 November 2026

These terms apply to every order placed with Rangewell. By opening a trade account or placing an order, you accept them in full. They replace any terms you send us, including terms on your purchase orders.

1. About us

These terms are issued by Rangewell. Contact: support@rangewell.uk.

2. Trade customers only

  1. We sell only to businesses buying for resale or business use. We do not sell to consumers.
  2. By ordering, you confirm you are acting in the course of business. Consumer protection laws, including the right to cancel within 14 days, do not apply.
  3. Every account must be approved by us. We may refuse, suspend or close any account at our discretion, with or without giving a reason.
  4. You must keep your account details and login secure. Orders placed through your account are your responsibility.

3. Orders and contract

  1. Your order is an offer to buy. A contract exists only when we confirm acceptance in writing (including by email) or dispatch the goods, whichever comes first.
  2. We may refuse or cancel any order before dispatch, for example due to stock availability, a pricing error or failed checks. If you have already paid, we refund the amount paid for the cancelled goods, and we have no further liability.
  3. There is no fixed minimum order value. Any minimum quantity for an order is confirmed in our quote.
  4. Goods are sold in the case sizes shown. We do not split cases.
  5. Once accepted, an order cannot be cancelled or changed without our written agreement. Your contract is with Genesis Black Limited, trading as Rangewell, registered in England and Wales (company number 17381514), registered office 43 Granville Street, Bristol, England, BS5 9SW.

4. Prices

  1. Prices are shown to approved customers only and are confidential. You must not share them.
  2. Prices exclude VAT, which is added at the applicable rate, and exclude delivery unless stated.
  3. We may change prices at any time before we accept your order.
  4. If a price is clearly wrong because of an error, we are not bound by it. We will contact you to confirm the correct price, or cancel the order.
  5. Any price-marked (PMP) value on a pack is the manufacturer’s suggested price. We do not guarantee your resale price or margin.

5. Payment

  1. Payment is due in full, in cleared funds, before dispatch, unless we have agreed credit terms in writing.
  2. Payment must come from a business bank account or business card in your registered company name. We may refuse or return payments from any other source.
  3. We may carry out identity, fraud and credit checks before accepting payment or dispatching goods.
  4. If any amount is overdue, we may suspend deliveries and your account. We may also charge interest and compensation under the Late Payment of Commercial Debts (Interest) Act 1998, plus our reasonable recovery costs.
  5. Raising a chargeback or payment dispute for goods that were delivered as ordered is a breach of these terms. We may recover the amount and close your account.
  6. You may not withhold or set off any amount you owe us against any claim you have against us.

6. Delivery and risk

  1. Delivery dates are estimates only. Time of delivery is not essential, and we are not liable for delays.
  2. Risk in the goods passes to you on delivery to your address, or when you or your carrier collect them.
  3. Full details are in our Delivery Policy, which forms part of these terms.

7. Ownership (retention of title)

  1. The goods remain our property until we have received full payment for them and for any other sums you owe us.
  2. Until then, you hold the goods for us, store them separately and identifiably, and keep them insured. You may resell them in the ordinary course of business.
  3. If you fail to pay or become insolvent, we may enter your premises to recover goods that are still ours.

8. Inspection, claims and returns

  1. You must inspect the goods on delivery and report any damage, shortage or wrong item within 48 hours, and any fault within 7 days. Claims made later are not accepted.
  2. Our Returns & Refunds Policy, which forms part of these terms, sets out how claims are handled.

9. Products and compliance

  1. Goods are supplied as described by the manufacturer. Images are for illustration only; packaging may change.
  2. You are responsible for complying with all laws that apply to your resale, including age-restricted products, labelling and storage.
  3. You must store goods as the manufacturer directs. We are not responsible for loss caused by your handling or storage.

10. Limits on our liability

  1. Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot legally be limited.
  2. Subject to clause 10.1, our total liability for any order is limited to the price paid for the goods in that order.
  3. We are not liable for any loss of profit, sales, business, goodwill or contracts, or for any indirect or consequential loss.
  4. All conditions and warranties implied by law are excluded to the fullest extent permitted, except those as to title.

11. Events outside our control

We are not liable for any delay or failure caused by events outside our reasonable control, including supplier shortages, transport or courier failures, strikes, extreme weather, pandemics or government action.

12. General

  1. We may update these terms at any time. The version on our website when you place an order applies to that order.
  2. You may not transfer your account or these terms to anyone else without our written consent.
  3. If any part of these terms is found unenforceable, the rest remains in force.
  4. These terms are governed by the law of England and Wales, and its courts have exclusive jurisdiction.
